By-Laws of the

Grosse Ile Music Boosters' Association, Inc.

 

I

NAME 

The Name of this Corporation shall be the Grosse Ile Music Boosters. The Corporation shall not have a seal. 

II

PURPOSE

The Purposes for which the corporation is formed are to encourage, promote, and support music activities and programs, including, instrumental and vocal music sponsored by the Grosse Ile Township School District.

III

MEMBERSHIP 

Membership in this organization shall be persons who have students participating in any musical program in Grosse Ile Township Schools or community members who contribute at the minor contribution level.  

The contribution levels shall be called: Conductor, Symphony, Director, Collage and Ensemble. These levels will have donation amounts as established by the Board of Directors.

OFFICERS

The Officers shall be President, Vice President, Secretary, Treasurer, Director of Fund Raising, Director of Membership, and Director of Publicity, and such other Officers as the Board of Directors may from time to time determine.

BOARD OF DIRECTORS

The affairs of the Organization shall be managed by a Board of Directors consisting of Ten (10) members. Directors shall be elected by the members for a one year term. Vacancies on the Board of Directors may be filled by the Board of Directors by nominating and voting of the members to fill the vacancies.

Nothing herein contained shall be construed to prevent the election of a Director to succeed himself/herself.

The Board of Directors may appoint committees, standing or special, from time to time from among their number, or otherwise, and confer powers on such committees as necessary.

Six (6) of the Directors shall constitute a quorum for the transaction of corporate financial business and corporate financial policy decisions. Regular business of the board may be transacted and passed with majority vote of members present.

In the event of any dispute concerning the meaning or intend of these by-laws, an interpretation by the Board of Directors shall govern the corporation in the conduct of its business and affairs.

 

Meetings of the Board of Directors may be called by the President or by any four members of the Board upon five days notice. Ordinary protocol will be guided by Robert's Rule of Order.

ANNUAL MEETING

There shall be an annual meeting of the Association to elect officers for the coming year. This annual meeting will take place at the end of the calendar school year.

CHECKS

All checks issued by the corporation shall be signed by the Treasurer and/or one other officer of the corporation as designated by the President.

MEETINGS OF THE ASSOCIATION 

Meetings of the members of the Association may be called by the President, the Board of Directors or by a majority of the members of record at any time, or any place, by publication in a local newspaper or other notice.

 

IX

THE PRESIDENT

The President shall be chosen by the Board of Directors at its first meeting to be held after the annual meeting of the members. The President shall be the Chief Operating officer of the corporation. It shall be his/her duty to preside at all meetings of the organization, to see that all orders and resolutions of the Board of Directors are carried into effect, to execute all contracts and agreements authorized by the Board of Directors, and, when authorized by the directors, to sign the name of the corporation to any instrument requiring the same.

THE VICE-PRESIDENT

The Vice-President shall be vested with all the powers of the President in his or her absence or disability, and shall perform such other duties as may be prescribed by the Board of Directors. Responsible for publication and distribution of quarterly newsletter.

THE TREASURER

The Treasurer shall have custody of the funds and securities of the corporation and shall keep full and accurate accounts of receipts and disbursements in books belonging to the corporation, and shall deposit all moneys in the name and to the credit of the corporation in such depositories as may be designated by the Board of Directors.

THE SECRETARY 

The Secretary shall record all the proceedings of the meetings held by the membership and/or the Board of Directors in a book kept for that purpose and shall provide proper notice of such meetings.

DIRECTOR OF PUBLICITY

The Director of Publicity shall be responsible for the formation, development and execution of publicity and public relations programs which are designed to encourage attendance at Grosse Ile Music performances and otherwise meet the objectives and purposes of the organization. The Director of Publicity shall gather information for distributions to the Grosse Ile Township School newsletters, website, the Ile Camera and other appropriate mechanisms of communication. The Director shall communicate with the faculty to attain relevant information both on upcoming events, award winners, student accomplishments etc. for publication.

DIRECTOR OF MEMBERSHIP 

The Director of Membership shall be responsible for coordinating the membership drive. The Director is also to keep an updated list of total membership. It will be his/her responsibility to see that all tables are arranged for at the schools on the nights of Open House.

PAST PRESIDENT 

Shall be designated to assist the President and the Board in advisory role. This tenure one year in length. This is a Board position.

XVI

DIRECTOR OF FUND RAISING The Director of Fund Raising shall be responsible for the organization, coordination, purchasing, and distribution of all fund raising projects. 

XVII

CHAIRPERSON

All committee chairpersons will be responsible for reporting to the Board of Directors all committee decisions. Chairpersons may be named and appointed by a majority of the Board of Directors for specific activities during any given year. The length of appointment is determined by the Board of Directors.

XVIII

AMENDMENT BY-LAWS

These by-laws may be changed or amended, at any regular meeting of the membership, or any special meeting called upon with due notice for this purpose, by the vote of the majority of the membership present at such meeting.
